This page contains the complete Terms of Use for the DOpS Advisor Portal: Part A (Executive Access) and Part B (Collaborator Access). By accepting below, you agree to the terms that apply to your invitation and use of the Portal. If you have Executive Access, Part A governs your use. If you have Collaborator Access, Part B governs your use. If your access includes both roles, both Parts apply.
Part A — Executive Access

Acceptance summary
These Terms govern your invitation-only access to the ConverGen Digital Operations System Advisor, referred to as the DOpS Advisor or the Portal. By creating an account, clicking "I Accept," or accessing the Portal, you agree to these Terms.
Executive Access is designed for selected executives, board members, owners, investors, insurance stakeholders, and strategic partners to review Live Articles and interact with the DOpS Advisor. It is not a general SaaS subscription, public website, document library, or consulting deliverable.
1. Definitions
- "ConverGen," "we," "us," or "our" means Converge RES LLC d/b/a ConverGen AI, unless a separate written agreement identifies another contracting entity.
- "DOpS Advisor" or "Portal" means the invitation-only web-based ConverGen Digital Operations System Advisor environment, including Live Articles, guided pathways, Evidence Cards, source-grounded question-answering, user interface, logs, metadata, and related functionality.
- "Executive Access" means read-only, non-transferable access issued to a named individual for executive-level orientation, learning, diligence, and decision support.
- "Portal Content" means all materials made available through the Portal, including Live Articles, summaries, answers, citations, Evidence Cards, source previews, taxonomies, frameworks, prompts displayed to users, workflows, diagrams, labels, metadata, and the selection, structure, and arrangement of those materials.
- "User Content" means questions, prompts, feedback, comments, or other information you submit in the Portal. Executive Access is not intended for uploading files or creating content.
- "Confidential Information" includes Portal Content, nonpublic product functionality, access methods, source mappings, answer behavior, usage patterns, and any other nonpublic information disclosed through or in connection with the Portal.
2. Invitation-only access and account rules
- Access is issued only by invitation. Your account is personal to you, tied to your identity, and may not be shared, transferred, sublicensed, delegated, or used by another person.
- You must provide accurate registration information, use only your own credentials, maintain multi-factor authentication when required, and promptly notify ConverGen if your account may have been compromised.
- Access may be time-limited, purpose-limited, organization-limited, or content-limited. ConverGen may suspend or revoke access at any time, with or without notice.
- Do not share passwords, passkeys, magic links, invitation links, session tokens, or authenticated devices.
- Do not allow assistants, colleagues, contractors, advisors, or automated tools to use your account.
- Do not attempt to create a second account, bypass access controls, or test access scopes you were not granted.
3. Permitted Executive Access use
You may use Executive Access only to read Portal Content, ask questions within the Portal, inspect permitted Evidence Cards, evaluate the implications of Digital Operations and Digital Labor for your organization, and request follow-up discussions with ConverGen.
You may use general learnings and high-level insights from the Portal for your own internal business, board, diligence, strategy, governance, or risk discussions, provided you do not copy, quote, reproduce, redistribute, reverse engineer, or disclose Portal Content except as expressly permitted in writing by ConverGen.
4. Restrictions on copying, extraction, recording, and redistribution
Executive Access is intentionally read-only. Unless ConverGen gives prior written permission, you may not download, print, copy, reproduce, extract, summarize at scale, publish, distribute, transmit, display, sell, sublicense, or otherwise disclose Portal Content outside the Portal.
Technical controls may limit copying, downloading, printing, and bulk extraction. These controls are not a waiver of any contractual restriction. Attempting to bypass them is prohibited.
- Do not take screenshots, screen recordings, photographs, screencasts, or meeting recordings of the Portal.
- Do not use scraping, crawling, bots, browser automation, API calls, data extraction tools, text capture tools, OCR, or similar methods to collect Portal Content.
- Do not remove, obscure, crop, alter, or attempt to defeat watermarks, confidentiality legends, access notices, or session identifiers.
- Do not bulk-export prompts, answers, citations, Evidence Cards, source previews, Live Article text, taxonomies, or frameworks.
- Do not use Portal Content in public presentations, external publications, newsletters, social media, investor materials, marketing materials, board packets distributed outside your organization, or vendor diligence materials without prior written permission.
5. AI, model-training, and competitive-use restrictions
You may not use Portal Content, User Content, Portal outputs, citations, Evidence Cards, source mappings, taxonomies, frameworks, summaries, or other materials from the Portal to train, fine-tune, prompt-tune, evaluate, benchmark, enrich, populate, or operate another AI model, agent, chatbot, retrieval system, knowledge base, dataset, digital advisor, or competitive product without ConverGen's prior written permission.
You may not use the Portal to build, improve, or support a product, service, research system, consulting methodology, advisory product, knowledge product, underwriting product, risk model, or publication that competes with or substitutes for ConverGen's products or advisory work.
6. Confidentiality
The Portal is confidential. You must protect Portal Content and other Confidential Information with at least the same degree of care you use to protect your own confidential information, and no less than reasonable care.
You may disclose Confidential Information only to ConverGen or to your internal personnel who have a legitimate need to know for the permitted internal purpose and who are bound by confidentiality obligations at least as protective as these Terms. You remain responsible for any disclosure or misuse by those personnel.
For clarity, Confidential Information includes ConverGen's nonpublic intellectual property, trade secrets, know-how, methods, product architecture, source mappings, workflows, taxonomies, frameworks, prompts, answer behavior, evidence structures, content organization, and other proprietary materials made available through or in connection with the Portal.
If you believe Confidential Information has been accessed, copied, disclosed, or used without authorization, you must notify ConverGen promptly at contact@convergen.ai.
7. No PHI, ePHI, patient data, or regulated third-party data
The Portal is not intended to receive protected health information, electronic protected health information, patient information, member information, claims files, medical records, provider credentialing files, personally identifiable health data, payment card data, Social Security numbers, or other regulated or sensitive personal data.
Do not submit confidential third-party information unless you have authority to do so and ConverGen has expressly approved the use case in writing. Healthcare examples should be generalized, anonymized, or synthetic unless a separate compliant deployment model has been established.
8. Advisor limitations and no professional determinations
The DOpS Advisor is intended for source-grounded orientation, education, decision support, and question formation. It may produce incomplete, outdated, or incorrect answers, and it may not capture all legal, regulatory, clinical, operational, underwriting, coverage, contractual, or organizational facts relevant to a decision.
The Portal does not provide legal advice, medical advice, clinical advice, diagnosis, treatment recommendations, insurance coverage determinations, underwriting decisions, claims handling instructions, actuarial advice, accounting advice, tax advice, investment advice, or professional liability determinations.
You are responsible for independent review, professional advice, internal approvals, validation, and final decisions. Do not rely on the Portal as the sole basis for clinical care, patient decisions, employment decisions, insurance decisions, public statements, regulatory submissions, or binding organizational actions.
9. Security, monitoring, logging, and watermarking
The Portal may use security monitoring, rate limits, anomaly detection, source-permission checks, dynamic watermarking, and audit logs. Your use is not anonymous.
ConverGen may collect and retain information such as your name, email address, organization, access type, terms version accepted, authentication events, IP address, device and browser metadata, session identifiers, article views, questions, answers, citations, Evidence Cards opened, feedback, security events, and suspected misuse indicators.
ConverGen may use this information to provide the Portal, protect Confidential Information, enforce these Terms, investigate incidents, improve content quality, identify content gaps, support relationship follow-up, and maintain auditability.
10. Privacy and data-use commitments
ConverGen's collection and use of personal information is described in our Privacy Policy.
ConverGen should not use identifiable Portal queries, answers, uploads, feedback, or usage logs to train a public foundation model or third-party model unless the affected user or organization expressly opts in through a written agreement or a clear product control.
11. Ownership and limited license
ConverGen and its licensors own all right, title, and interest in and to the Portal, Portal Content, software, interfaces, workflows, source mappings, taxonomies, frameworks, metadata, trademarks, trade names, service marks, and related intellectual property.
Subject to these Terms, ConverGen grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Portal solely for the permitted Executive Access purpose. No rights are granted except as expressly stated.
You may submit feedback. You grant ConverGen a perpetual, irrevocable, worldwide, royalty-free license to use feedback without restriction or compensation, provided ConverGen does not identify you publicly as the source without permission.
ConverGen AI™, DOpS™, DOpS Advisor™, Digital Operations System™, and any related names, logos, product names, service names, slogans, designs, trade dress, and source identifiers are trademarks, service marks, or proprietary identifiers of Converge RES LLC d/b/a ConverGen AI. You may not use any ConverGen mark, name, logo, product name, domain name, social media handle, or confusingly similar designation without ConverGen's prior written permission. All goodwill arising from use of ConverGen marks inures solely to ConverGen.
12. Third-party materials and source previews
The Portal may reference public, licensed, internal, restricted, or third-party materials. Evidence Cards and source previews may display limited excerpts, summaries, metadata, or links when permitted by source rights and user permissions.
Access to a source preview does not give you a license to copy, reuse, download, redistribute, or publish that third-party material. Some citations may display metadata only when full preview is not permitted.
13. Suspension, revocation, and enforcement
ConverGen may suspend, limit, or revoke access immediately if it believes you violated these Terms, attempted bulk extraction, shared access, bypassed controls, entered prohibited data, misused Portal Content, or created security, confidentiality, legal, or operational risk.
Upon suspension, revocation, termination, or request, you must stop using the Portal and destroy any unauthorized copies, notes, screenshots, recordings, exports, or derivative materials in your possession or control.
14. Terms changes
ConverGen may update these Terms from time to time. For material changes, ConverGen should provide notice and require renewed affirmative acceptance before continued access where practical. Continued use after notice and acceptance means you agree to the updated Terms.
15. Disclaimers
THE PORTAL AND PORTAL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERGEN DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.
ConverGen does not warrant that the Portal will prevent all misuse, copying, screenshots, prompt injection, unauthorized disclosure, model error, citation error, interruption, or security incident.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERGEN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOSS OF GOODWILL; LOSS OF DATA; BUSINESS INTERRUPTION; OR SUBSTITUTE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERGEN'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PORTAL WILL NOT EXCEED THE GREATER OF AMOUNTS PAID BY YOU FOR THE APPLICABLE ACCESS IN THE THREE MONTHS BEFORE THE CLAIM OR $100.
17. Indemnity
You agree to defend, indemnify, and hold harmless ConverGen and its officers, directors, employees, contractors, advisors, licensors, and affiliates from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your violation of these Terms, misuse of the Portal, unauthorized disclosure of Portal Content, prohibited data submission, violation of third-party rights, or use of Portal Content in external or competitive materials.
18. Governing law and disputes
These Terms are governed by the laws of New York, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state or federal courts located in New York County, New York, unless counsel selects another forum.
Nothing in these Terms limits ConverGen's right to seek injunctive or equitable relief for actual or threatened breach of confidentiality, IP misuse, unauthorized access, or unauthorized disclosure.

Part B — Collaborator Access

Acceptance summary
These Terms govern your invitation-only Collaborator Access to the ConverGen Digital Operations System Advisor, referred to as the DOpS Advisor or the Portal. By creating an account, clicking "I Accept," using the Portal, uploading materials, submitting sources, drafting content, or using the Word Authoring Plug-in, you agree to these Terms.
Collaborator Access is a controlled authoring, review, source, and contribution environment. It is separate from Executive Access and carries additional confidentiality, source-rights, IP, attribution, export, and conflict-of-interest obligations.
1. Definitions
- "ConverGen," "we," "us," or "our" means Converge RES LLC d/b/a ConverGen AI, unless a separate written agreement identifies another contracting entity.
- "DOpS Advisor" or "Portal" means the invitation-only web-based ConverGen Digital Operations System Advisor environment, including Live Articles, draft articles, source files, Evidence Cards, chat and drafting interfaces, review workflows, metadata, audit logs, and the Word Authoring Plug-in.
- "Collaborator Access" means permissioned access issued to a named contributor, reviewer, source submitter, advisor, co-author candidate, or other approved collaborator.
- "Assigned Work" means the Live Article, draft, source set, topic area, review workflow, publication candidate, or other task assigned to you by ConverGen.
- "Contribution" means any material you create, draft, edit, upload, comment on, annotate, submit, recommend, structure, tag, source, classify, or otherwise provide through or for the Portal, including text, edits, comments, source notes, outlines, tables, examples, evidence blocks, prompts, metadata, and workflow inputs.
- "Background Materials" means materials, know-how, templates, methods, or information that you owned before accepting these Terms or developed independently outside the Assigned Work without using ConverGen Confidential Information.
- "Work Product" means Contributions, accepted revisions, drafts, editorial structures, source maps, evidence mappings, taxonomies, article versions, publication candidates, and other outputs created for or through the Portal.
- "Confidential Information" includes Portal Content, draft materials, source files, restricted sources, internal notes, reviewer comments, source mappings, unpublished analyses, product functionality, access methods, answer behavior, and any nonpublic information disclosed through or in connection with the Portal.
2. Invitation-only access, identity, and scope
Collaborator Access is issued only by invitation and only for the Assigned Work. Your account is personal to you, tied to your identity, and may not be shared, transferred, sublicensed, delegated, or used by another person.
You must use multi-factor authentication when required, keep credentials secure, access the Portal only from secure devices, and promptly notify ConverGen if credentials, devices, files, or Confidential Information may have been compromised.
ConverGen may suspend, limit, or revoke Collaborator Access at any time, including for scope violations, source-rights concerns, suspected misuse, conflict issues, relationship changes, or the end of the Assigned Work.
- Use the Portal only for assigned article IDs, source sets, topic areas, drafts, or workflows.
- Do not browse, query, export, or retrieve content outside your assigned scope.
- Do not share credentials, invitation links, authenticated devices, source files, drafts, or Word plug-in access.
- Do not create unmanaged local copies unless expressly permitted by ConverGen.
3. Permitted Collaborator Access use
You may use Collaborator Access only to perform the Assigned Work, which may include reviewing assigned source files, uploading approved source materials, drafting sections, commenting on Live Articles, proposing revisions, using the Word Authoring Plug-in, participating in source mapping, and contributing to publication candidates.
Any export, download, document generation, local storage, or external sharing must be expressly enabled by the Portal and permitted by ConverGen in writing or in the applicable workflow. A technical ability to export does not create a legal right to export.
4. Source submissions and upload rules
You may upload or submit materials only if you have all rights, permissions, licenses, and authority required to provide them to ConverGen for the Assigned Work and for ConverGen's use under these Terms.
Each submitted source should be identified as public, licensed, internal, restricted, collaborator-provided, confidential partner-provided, retired, deprecated, or another classification ConverGen specifies. You must provide accurate source metadata to the extent known, including title, author or organization, publisher, date, URL or storage path, source type, rights status, confidentiality status, preview permission, extract limit, and relevant review notes.
- Do not upload PHI, ePHI, patient information, member information, claims files, medical records, Social Security numbers, payment card data, or regulated personal data.
- Do not upload confidential third-party materials, employer materials, client materials, privileged materials, trade secrets, licensed materials, paywalled content, or proprietary datasets unless you have written authority and ConverGen has approved the source category.
- Do not upload malicious code, tracking pixels, hidden prompts, prompt-injection instructions, poisoned documents, executable files, or content intended to manipulate the Advisor or bypass controls.
- Do not submit materials that infringe copyright, violate contractual restrictions, breach confidentiality duties, violate employment obligations, or expose ConverGen to source-rights disputes.
5. Contribution ownership and license
Unless a separate signed agreement states otherwise, you assign to ConverGen all right, title, and interest in and to Contributions and Work Product created, submitted, or developed for the Assigned Work, including all intellectual property rights that may be assigned by law.
To the extent any Contribution, Work Product, or embedded Background Material cannot be assigned, you grant ConverGen a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, modify, adapt, translate, publish, distribute, display, perform, combine, train internal evaluation systems on where permitted by ConverGen policy, create derivative works from, commercialize, and otherwise exploit such materials for any ConverGen business purpose.
You retain ownership of your Background Materials that are not created for the Assigned Work, but you may not use ConverGen Confidential Information or Portal Content outside the Portal except as expressly permitted. You represent that your Background Materials do not create third-party restrictions inconsistent with these Terms.
ConverGen AI™, DOpS™, DOpS Advisor™, Digital Operations System™, and any related names, logos, product names, service names, slogans, designs, trade dress, and source identifiers are trademarks, service marks, or proprietary identifiers of Converge RES LLC d/b/a ConverGen AI. You may not use any ConverGen mark, name, logo, product name, domain name, social media handle, or confusingly similar designation without ConverGen's prior written permission. All goodwill arising from use of ConverGen marks inures solely to ConverGen.
6. No guarantee of acceptance, publication, attribution, or compensation
ConverGen may accept, reject, edit, combine, reorganize, rewrite, summarize, delete, archive, or publish Contributions in its sole discretion. Submission does not guarantee acceptance, publication, continued access, co-author status, public attribution, payment, or advisory relationship.
Attribution, if any, may be handled through internal contributor, acknowledged contributor, section contributor, co-author, or publication co-author designations. Formal co-authorship, publication authorship, speaking credit, public acknowledgment, compensation, or revenue participation requires a separate written agreement or express written approval by ConverGen.
Unless a separate written agreement provides otherwise, you will not receive compensation, royalties, revenue share, equity, expense reimbursement, or other payment for Contributions or Work Product.
7. Confidentiality and external communications
The Portal and all Confidential Information are confidential. You must protect Confidential Information with at least the same degree of care you use for your own confidential information, and no less than reasonable care.
You may not disclose, publish, quote, summarize externally, present, file, post, record, distribute, or otherwise use Confidential Information outside the Assigned Work without ConverGen's prior written permission.
For clarity, Confidential Information includes ConverGen's nonpublic intellectual property, trade secrets, know-how, methods, product architecture, source mappings, workflows, taxonomies, frameworks, prompts, answer behavior, evidence structures, content organization, and other proprietary materials made available through or in connection with the Portal.
You may not speak for ConverGen, claim ConverGen endorsement, identify yourself as a ConverGen employee or agent, announce your collaborator status, or describe unpublished Portal work publicly unless ConverGen approves the communication in writing.
8. Restrictions on extraction, recording, and redistribution
Unless ConverGen expressly authorizes a specific export or workflow, you may not download, print, copy, screenshot, photograph, screen-record, scrape, bulk extract, redistribute, publish, or create unmanaged local copies of Portal Content, source files, drafts, comments, answers, citations, Evidence Cards, source mappings, taxonomies, frameworks, or Work Product.
Do not remove, obscure, crop, alter, or attempt to defeat watermarks, confidentiality legends, source labels, export restrictions, version metadata, contribution metadata, or audit identifiers.
9. Word Authoring Plug-in
If ConverGen provides access to a Word Authoring Plug-in, you may use it only for Assigned Work and only with authorized documents, article IDs, source sets, and workflows.
The plug-in may validate assignments, authenticate your identity, insert approved source references, transmit drafts and edits to the Portal, record contribution metadata, capture version history, show source permissions, apply export controls, and prevent or log unauthorized synchronization of restricted content into unmanaged documents.
You may not modify, reverse engineer, bypass, disable, interfere with, or use the plug-in to extract content outside approved workflows. You must remove or stop using the plug-in upon request.
10. AI and external-tool restrictions
You may not provide Portal Content, Confidential Information, source files, draft articles, Contribution drafts, comments, Evidence Cards, source mappings, taxonomies, frameworks, or Work Product to third-party AI tools, public chatbots, transcription tools, note-taking bots, summarization tools, code assistants, data rooms, search engines, or external knowledge bases unless ConverGen approves the specific tool and use case in writing.
You may not use Portal materials to train, fine-tune, prompt-tune, evaluate, benchmark, enrich, populate, or operate another AI model, agent, chatbot, retrieval system, knowledge base, dataset, digital advisor, or competitive product without ConverGen's prior written permission.
If you use AI assistance in creating a Contribution with ConverGen's approval, you must disclose that use, identify the tool, and remain responsible for accuracy, originality, source rights, confidentiality, and compliance with these Terms.
11. Conflicts, authority, and professional obligations
Before accepting Collaborator Access and throughout the Assigned Work, you must disclose any conflict, restriction, or obligation that could affect your ability to contribute or assign rights to ConverGen.
- Required disclosures include employer restrictions, client duties, confidentiality obligations, academic or publication commitments, financial interests, board roles, advisory roles, litigation or claims involvement, government or procurement restrictions, professional licensing obligations, competing engagements, and any use of third-party materials that may require permission.
12. No PHI, ePHI, patient data, or regulated third-party data
The Collaborator Workspace is not intended to receive PHI, ePHI, patient data, member data, claims files, medical records, provider credentialing files, privileged files, or regulated personal data unless ConverGen has established a separate compliant deployment model and written authorization for the specific data category.
Healthcare examples should be generalized, anonymized, or synthetic. De-identification must be real and documented; do not assume that removing a name is sufficient.
13. Advisor limitations and no professional determinations
The DOpS Advisor and related Portal tools support drafting, source review, evidence mapping, orientation, and decision support. They do not provide legal advice, medical advice, clinical advice, diagnosis, treatment recommendations, insurance coverage determinations, underwriting decisions, claims handling instructions, actuarial advice, accounting advice, tax advice, investment advice, or professional liability determinations.
You are responsible for independent review of your Contributions, source rights, accuracy, completeness, professional obligations, and any statements you submit. ConverGen's acceptance of a Contribution does not relieve you of obligations under these Terms.
14. Security, monitoring, logging, and watermarking
The Portal may use security monitoring, rate limits, anomaly detection, source-permission checks, dynamic watermarking, export controls, contribution tracking, version history, and audit logs. Your use is not anonymous.
ConverGen may collect and retain information such as your name, email address, organization, access type, terms version accepted, authentication events, IP address, device and browser metadata, session identifiers, article views, source access, searches, uploads, downloads or attempted downloads, drafts, comments, edits, source submissions, plug-in events, answers, citations, Evidence Cards opened, feedback, and security events.
ConverGen may use this information to provide the Portal, manage contributions, attribute work, enforce source permissions, protect Confidential Information, investigate incidents, improve content quality, identify content gaps, maintain provenance, and support auditability.
15. Privacy and data-use commitments
ConverGen's collection and use of personal information is described in our Privacy Policy.
ConverGen should not use identifiable collaborator queries, uploads, drafts, comments, source submissions, feedback, or usage logs to train a public foundation model or third-party model unless the affected collaborator or organization expressly opts in through a written agreement or clear product control.
ConverGen may use aggregated, de-identified, internal, or work-product-level signals to improve the Portal, refine Live Articles, evaluate answer quality, test security controls, manage contribution workflows, maintain source provenance, and support product analytics.
16. Suspension, revocation, return, and deletion
ConverGen may suspend, limit, or revoke access immediately if it believes you violated these Terms, exceeded your assigned scope, uploaded prohibited materials, created source-rights risk, disclosed Confidential Information, attempted bulk extraction, used external AI tools without approval, failed to disclose a conflict, or created security, confidentiality, legal, or operational risk.
Upon suspension, revocation, termination, completion of Assigned Work, or request, you must stop using the Portal and return or destroy Confidential Information, source files, drafts, local copies, exports, notes, screenshots, recordings, plug-in files, and derivative materials in your possession or control, except where retention is required by law and disclosed to ConverGen.
17. Terms changes
ConverGen may update these Terms from time to time. For material changes, ConverGen should provide notice and require renewed affirmative acceptance before continued access where practical. Continued use after notice and acceptance means you agree to the updated Terms.
ConverGen should keep an auditable record of the version of the Terms accepted by each collaborator.
18. Disclaimers
THE PORTAL, PORTAL CONTENT, SOURCE PREVIEWS, PLUG-IN, AND RELATED TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERGEN DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.
ConverGen does not warrant that the Portal or plug-in will prevent all misuse, copying, screenshots, prompt injection, unauthorized disclosure, citation error, source-rights dispute, interruption, or security incident.
19. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERGEN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOSS OF GOODWILL; LOSS OF DATA; BUSINESS INTERRUPTION; OR SUBSTITUTE SERVICES, WHETHER ARISING IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERGEN'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PORTAL WILL NOT EXCEED THE GREATER OF AMOUNTS PAID BY YOU FOR THE APPLICABLE COLLABORATOR ACCESS IN THE THREE MONTHS BEFORE THE CLAIM OR $100.
20. Indemnity
You agree to defend, indemnify, and hold harmless ConverGen and its officers, directors, employees, contractors, advisors, licensors, and affiliates from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your violation of these Terms, misuse of the Portal or plug-in, unauthorized disclosure of Confidential Information, prohibited data submission, infringement or misappropriation claims involving your Contributions or source submissions, violation of third-party rights, failure to disclose conflicts or restrictions, or use of Portal materials in external or competitive systems.
21. Governing law and disputes
These Terms are governed by the laws of New York, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state or federal courts located in New York County, New York, unless counsel selects another forum.
Nothing in these Terms limits ConverGen's right to seek injunctive or equitable relief for actual or threatened breach of confidentiality, IP misuse, unauthorized access, unauthorized disclosure, source-rights violation, or competitive misuse.
